For the purposes of the terms below, “Digital Assets” refers to all crypto-based assets, tokens, in-game units, or equivalent, developed by and available through Sport.Fun Corp and any of its affiliate entities.

Notice to Residents of the United States

The Digital Assets have not been registered under the U.S. Securities Act of 1933, as amended (“Securities Act”) or under the securities laws of any state or foreign jurisdiction. The Digital Assets may not be offered, sold or otherwise transferred, pledged or hypothecated except as permitted under the Securities Act and applicable state and foreign securities laws pursuant to an effective registration statement or an exemption therefrom.

Notice to Residents of the European Economic Area (“EEA”)

The offering of Digital Assets is not intended for, and must not be made available to, any person located in the EEA where such offering would require the publication of a white paper or other disclosure under Regulation (EU) 2023/1114 on Markets in Crypto-Assets (“MiCA”), unless the company has complied with the applicable provisions of MiCA.

No offer of crypto-assets that may be deemed asset-referenced tokens, e-money tokens, or other crypto-assets subject to MiCA is being made to the public in any Member State of the EEA unless:

• A white paper has been published and notified in accordance with MiCA, and any applicable national requirements have been met; or

• Such offer qualifies for an exemption under MiCA, including offers addressed solely to qualified investors or to fewer than 150 natural or legal persons per Member State (other than qualified investors).

The Digital Assets are not intended to be offered, sold, or otherwise made available to any retail investor in the EEA unless permitted under MiCA. No Key Information Document under Regulation (EU) No. 1286/2014 (the “PRIIPs Regulation”) has been prepared. Offering to retail investors in the EEA may be unlawful under the PRIIPs Regulation.

Notice to Residents of the United Kingdom (“UK”)

The Digital Assets are intended to function exclusively as utility tokens—used solely for accessing or interacting with features of an online game—and are not intended to be financial instruments or securities under applicable UK law.

The Digital Assets:

• Have not been assessed or approved by the Financial Conduct Authority (“FCA”)

• Are not subject to regulation under the Financial Services and Markets Act 2000 (“FSMA”), unless deemed “specified investments” under the FSMA (Regulated Activities) Order 2001 (“RAO”)

If deemed “specified investments,” the Digital Assets will only be distributed to:

1. Investment professionals (Article 19(5), FPO)

2. Persons/entities under Article 49, FPO

3. Certified sophisticated investors (Article 50(1), FPO)

4. Other lawful recipients (“Relevant Persons”)

Any investment activity is available only to Relevant Persons. The Digital Assets are not for use, sale, or promotion as an investment product.

Notice to Residents of the Cayman Islands

The Digital Asset is not being offered as a public offer of securities in the Cayman Islands. No solicitation to the public in the Cayman Islands to purchase Digital Assets is permitted.

Notice to Residents of China

Persons domiciled in or purchasing from the People’s Republic of China (excluding Hong Kong, Macau, and Taiwan) are excluded from acquiring, either directly or indirectly, the Digital Assets.

Notice to Residents of Iran

Persons domiciled in or purchasing from the Republic of Iran are excluded from acquiring, either directly or indirectly, the Digital Assets.

Notice to Residents of Hong Kong

The content of this website has not been reviewed or approved by any regulatory authority in Hong Kong. Exercise caution in relation to the Digital Assets. If in doubt, seek independent professional advice.

This is not an offer or invitation to the public in Hong Kong. No person may issue an offer of Digital Assets that constitutes a “prospectus” under the Companies (Winding Up and Miscellaneous Provisions) Ordinance or the Securities and Futures Ordinance.

The offer of Digital Assets is personal and may only be accepted by the intended recipient. No distribution, reproduction, or sharing of this website in Hong Kong is permitted.

• Have not been lodged with the Australian Securities & Investments Commission

• A “professional investor” (Section 708(11))

• A “wholesale client” (Section 761G)

No person holds an Australian Financial Services Licence. The Digital Assets and documents must not be redistributed within 12 months of issue except under relevant exemptions.

Notice to Residents of North Korea

Persons domiciled in or purchasing from the Republic of North Korea are excluded from acquiring, either directly or indirectly, the Digital Assets.

Notice to Residents of Singapore

The offer of Digital Assets does not relate to a collective investment scheme authorized under the Securities and Futures Act (SFA). No prospectus has been registered with the Monetary Authority of Singapore.

The website and related materials may only be directed to accredited investors as defined in the SFA.

Notice to Residents of South Korea

This is not an offering of securities in South Korea under the Financial Investment Services and Capital Markets Act (FISCMA). The Digital Assets have not been registered under FISCMA and may not be offered or sold to South Korean residents.

No action has been taken to permit the offer, sale, or distribution of Digital Assets in any jurisdiction requiring such actions. Recipients must comply with applicable laws and confirm that their receipt and use of Digital Assets is lawful.
